Why Shortcuts Fail

The federal contracting landscape is undergoing one of the most significant transformations in decades. Between the FAR Overhaul, the new subcontracting certification requirements, and the tightening of rules around “similarly situated” subcontractors, it is no longer possible to build a successful federal business model around inexperience and outsourcing.

For new entrants and startups, especially those with fewer than three years in operation, this “era of change” demands strategy, structure, and substance, not shortcuts.

The Myth of the Pass-Through Business Model

A recurring misconception among small businesses entering government contracting is the idea that they can win contracts as a prime and subcontract all of the work to another firm. This approach, often called a “pass-through” model, may sound like a low-risk way to enter the market, but it’s actually a compliance hazard and a recipe for failure.

Under the Small Business Act and FAR Part 19, limitations on subcontracting require that small businesses perform a minimum percentage of the work. The ostensible subcontractor rule also prohibits arrangements where the prime relies excessively on a subcontractor for management, technical expertise, or performance. Violating these provisions can lead to indefinite suspension, termination for default, or even False Claims Act exposure

In short: if your business is merely a shell that passes work to another company, it’s not a contractor, it’s a liability.

No Experience, No License, No Strategy

The most common challenges we see at the APEX Accelerator stem from businesses attempting to enter the federal marketplace without foundational readiness:

  • No past performance to demonstrate reliability.
  • No technical experience in the service area they’re pursuing.
  • No strategic relationships with industry partners or mentors.
  • No required licenses or credentials, particularly in construction and trades.

You can’t offer roofing, electrical, or general contracting services to the government without the appropriate state licenses. Likewise, you can’t expect contracting officers to award a contract to an unproven entity with no verifiable past performance or compliance record.

Pressures on New Entrants

The Era of Change presentation highlights increasing pressures on new entrants, from required-use contracts and MAC/BPA dominance to tighter oversight from OSDBUs and small business specialists. In this environment, agencies prefer small businesses that demonstrate not just ownership, but operational capability and strategic positioning

Simply being small is no longer a competitive advantage. Competence, credibility, and compliance are.

A Smarter Path Forward

For emerging firms, the path to government contracting success is gradual but achievable. Consider these foundational steps:

  1. Build Core Competency: Focus on your core trade or professional service area before expanding into new markets.
  2. Develop Past Performance: Subcontract under experienced primes to gain experience, not to avoid responsibility.
  3. Obtain Proper Licensing: Invest in the credentials and state licenses required for your industry.
  4. Leverage Local Partnerships: Engage with your regional APEX Accelerator or SBDC to receive guidance on market entry and compliance.
  5. Understand the FAR: Know the rules that govern your work, especially those surrounding subcontracting and performance.

Substance Over Shortcuts

Federal contracting rewards preparation, not pretense. The businesses that thrive are those that lead with capability, perform with integrity, and grow through experience, not those that try to bypass it.

The message to startups is clear: in this era of federal reform, there are no shortcuts to credibility. Build the foundation, earn the trust, and let your performance, not a pass-through, be your pathway to success.
